3. Payments & Billing

• Payments must be made as per the agreed payment schedule (advance, milestones, or full payment).

• All payments are processed through secure third-party payment gateways such as Razorpay.

• Failure to make payments on time may result in project delays, suspension of services, or termination of engagement.

All prices are exclusive of applicable taxes unless stated otherwise.

4. Refund & Cancellation

Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms an integral part of these Terms.

5. Client Responsibilities

The client agrees to:

• Provide accurate information, content, and assets required for the project

• Respond to queries and approvals in a timely manner

• Ensure they have rights to all materials shared with us

Delays caused due to lack of client inputs or approvals may affect project timelines.

6. Intellectual Property

• Upon full payment, ownership of final deliverables will be transferred to the client unless otherwise agreed.

• Exponit retains the right to showcase completed work in its portfolio unless restricted by a written agreement.

• Any pre-existing tools, frameworks, or libraries used remain the property of their respective owners.

7. Limitation of Liability

Exponit shall not be liable for:

• Any indirect, incidental, or consequential damages

• Loss of data, revenue, or business opportunities

• Issues arising from third-party services, hosting providers, or integrations

Our total liability, if any, shall not exceed the amount paid by the client for the specific service in question.

8. Third-Party Services

We may integrate or recommend third-party tools, platforms, or services. We are not responsible for the performance, availability, or policies of such third parties.

9. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of the engagement, unless disclosure is required by law.

10. Termination

Either party may terminate an engagement with written notice if the other party breaches these Terms. Payments made for completed work up to the termination date shall remain non-refundable unless stated otherwise.

11. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts of India.

12. Changes to Terms
